Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or
Standard; Transfer of Listing.
On September 23, 2022, Crucible Acquisition Corporation (the "Company") filed a
preliminary proxy statement (the "Preliminary Proxy Statement") with the U.S.
Securities and Exchange Commission (the "SEC") in connection with a stockholder
vote to amend the Company's Amended and Restated Certificate of Incorporation
(the "Amendment") to amend the date by which the Company must cease its
operations except for the purpose of winding up if it fails to complete a
merger, capital stock exchange, asset acquisition, stock purchase,
reorganization or similar business combination with one or more businesses (a
"Business Combination"), and redeem all of the shares of Class A common stock,
par value $0.0001 per share, of the Company, included as part of the units sold
in the Company's initial public offering that was completed on January 7, 2021,
from January 7, 2023 (the "Original Termination Date") to an earlier date in
2022 (the "Amended Termination Date"). As disclosed in the Preliminary Proxy
Statement, there will be no redemption rights or liquidating distributions with
respect to the Company's warrants, which will expire worthless if the Company
fails to complete an initial Business Combination by the Original Termination
Date or, if the Amendment is approved by the Company's stockholders, the Amended
Termination Date. Following the filing of the Preliminary Proxy Statement, on
September 26, 2022, the New York Stock Exchange (the "NYSE") notified the
Company, and publicly announced, that the NYSE determined to commence
proceedings to delist the Company's warrants from the NYSE and that trading in
the Company's warrants would be suspended immediately due to trading price
levels pursuant to Section 802.01D of the NYSE Listed Company Manual. The
Company does not intend to appeal the NYSE's determination.
