Munich, July 25, 2012.

In their meetings of today's date, the Management Board and Supervisory Board of DAB bank AG agreed to pursue the goal of legally merging the Austrian subsidiary direktanlage.at AG into DAB bank AG, at the start of 2013. The merger will simplify the corporate governance structures of the two companies.

Ernst Huber, who had previously been the Management Board Chairman of direktanlage.at AG, was appointed as the Management Board Speaker of DAB bank AG, effective August 1, 2012. He will succeed Markus Gunter, who had served on the Management Board since 2008 and had been the Management Board Speaker of DAB bank AG since 2011. Effective July 31, 2012, Markus Gunter will resign from the Management Board, on the best terms of mutual agreement. Furthermore, Dr. Josef Zellner, previously the manager in charge of the B2B Division for business customers, will be appointed to the Management Board of DAB bank AG, effective August 1, 2012.

Effective July 31, 2012, Ernst Huber will resign from his post as Chairman of the Management Board of direktanlage.at AG.

In the time remaining before the merger of the two companies, Paul Reitinger, who had previously been the Director of the Brokerage Services Department at direktanlage.at AG, will be elevated to the Management Board, where he will manage the business of the Austrian market leader in the online brokerage sector, in cooperation with Jürgen Kühnel, who is also on the Management Board. Effective August 1, 2012, Ernst Huber will be appointed to the Supervisory Board of direktanlage.at AG, where he will take the place of Alessandro Foti, who will resign from the Supervisory Board effective July 31, 2012.

From the time when it was founded in 1995, Ernst Huber has built direktanlage.at AG into Austria's leading online broker. As the Management Board Speaker of DAB bank AG, he will be responsible for the business with individual investors (B2C Division), Products & Services, Human Resources & Corporate Affairs, as well as Corporate Communications and the Group's business in Austria. Within the Management Board, Dr. Josef Zellner will be directly responsible for business customers (B2B Division). Management Board member Dr. Niklas Dieterich will still be responsible, as before, for Finance & Controlling, Operations and IT, as well as the departments of Risk Controlling & Compliance, Internal Audit and Investor Relations.
