CHANGES TO THE BOARD AND

COMPOSITION OF THE NOMINATION COMMITTEE

The board of directors (the "Board") of Dah Chong Hong Holdings Limited (the "Company", which together with its subsidiaries, the "Group") announces the following changes to take effect from 1 January 2014:
(1) Mr. Hui Ying Bun ("Mr. Hui"), will retire as the Chairman of the Board, non-executive
Director and the chairman of Nomination Committee of the Company;
(2) Mr. Zhang Jijing ("Mr. Zhang") will be appointed as the Chairman of the Board, non-executive Director and the chairman of Nomination Committee of the Company; and
(3) Mr. Tsoi Tai Kwan, Arthur ("Mr. Tsoi") will resign as an executive Director of the
Company.
The Board of the Company announces the following changes:

Retirement of Mr. Hui as Chairman of the Board, non-executive Director and chairman of Nomination Committee of the Company

After nearly 50 years with the Company, Mr. Hui will retire as Chairman of the Board, non-executive Director and chairman of Nomination Committee of the Company with effect from 1 January 2014. Mr. Hui joined the Company in 1966. He was the Group Chief Executive since January 2003 and was appointed the Chairman of the Company in July 2007. Mr. Hui retired from executive duties from 1 January 2012 but continued to serve as Chairman and non-executive Director. Mr. Hui had led the structural rationalization of the Company to cope with the growth of its businesses. He was fundamental in building the Company and expanding its businesses in mainland China. He was also a driving force in improving the Company's corporate governance practices and culture.

Mr. Hui confirmed that he has no disagreement with the Board and there is no matter in respect of his retirement that needs to be brought to the attention of the shareholders of the Company.
The Board hereby takes this opportunity to express its most sincere gratitude to Mr. Hui for his leadership and valuable contributions made to the Company.

Appointment of Mr. Zhang as Chairman of the Board, non-executive Director and chairman of Nomination Committee of the Company

The Board is pleased to announce that Mr. Zhang will be appointed as Chairman of the Board, non-executive Director and chairman of Nomination Committee of the Company with effect from 1 January 2014.
Mr. Zhang, aged 58, is currently the president and an executive director of CITIC Pacific Limited ("CITIC Pacific", the controlling shareholder of the Company). Mr. Zhang also serves as the chairman of the executive committee and a member of both the investment committee and the special committee of CITIC Pacific. Mr. Zhang is also a vice president of CITIC Limited, the chairman of CITIC Pacific China Holdings Limited and a director of CITIC Hong Kong (Holdings) Limited. He was an executive director and a vice president of CITIC Group Corporation (the ultimate holding company of the Company), the head of the strategy and planning department of CITIC Limited, a non-executive director of CITIC Securities Company Limited (listed on the Hong Kong Stock Exchange and Shanghai Stock Exchange) and a non-executive director of China CITIC Bank Corporation Limited (listed on the Hong Kong Stock Exchange and the Shanghai Stock Exchange). He was a non-executive director of CITIC Resources Holdings Limited (listed on the Hong Kong Stock Exchange) and resigned on
18 September 2013. He also previously served as the managing director of CITIC Australia Group and a director and vice president of CITIC Australia Pty. Ltd. and the deputy division chief of the overseas investment department of China International Trust and Investment Corporation. Mr. Zhang had, over a decade ago, also served as a non-executive director of certain companies in which CITIC Australia Pty. Ltd. had invested in (including Yaohan International Holdings Limited and Pacific Asia International Pty Limited). From 14 February
1996 to 22 November 1997 and from 24 February 1998 to 20 November 1998, Mr. Zhang served as a non-executive director of Yaohan International Holdings Limited (a company incorporated in Bermuda and subsequently in liquidation). Current status and outcome of the proceeding is unknown. Mr. Zhang also served as a non-executive director of Pacific Asia International Pty Limited from 30 June 1995 to 17 September 1999 and this company was deregistered on 20 June 2004 after its liquidation. The Board is of the view that Mr. Zhang's role as a non-executive director of the aforesaid companies which went into liquidation does not have any impact on Mr. Zhang's qualification to serve as the Chairman and non-executive Director of the Company.

Mr. Zhang has over 28 years' experience in corporate management, industrial investment, business finance and the aluminum industry. Mr. Zhang obtained a Bachelor Degree in Engineering from Hefei Polytechnic University in Anhui Province and a Master Degree in Economics from the Graduate School of Chinese Academy of Social Sciences in Beijing.
There is no service contract between the Company and Mr. Zhang. The Company will enter into an appointment letter with Mr. Zhang and pursuant to the Company's New Articles of Association, Mr. Zhang will hold office only until the next following annual general meeting of the Company and shall then be eligible for re-election at such meeting. Thereafter, he will be subject to retirement by rotation and re-election in accordance with the Company's New Articles of Association. Pursuant to the ordinary resolution passed by the shareholders of the Company at the annual general meeting held on 11 May 2011, no director's fee and fee for serving on any board committees would be paid to the Directors of the Company employed by CITIC Pacific, and as such, Mr. Zhang will not receive any salary, director's fee or fee for serving on Nomination Committee from the Company.
As at the date hereof, Mr. Zhang is not interested in any shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance. Save as disclosed, Mr. Zhang has no relationships with any directors, senior management or substantial or controlling shareholders of the Company, and does not hold and has not in the last three years held any directorships in any other public companies the securities of which are listed on any securities market in Hong Kong or overseas.
Save as disclosed above, in relation to the appointment of Mr. Zhang as Chairman of the Board, non-executive Director and chairman of the Nomination Committee of the Company, there is no information to be disclosed pursuant to any of the requirements of Rules 13.51(2)(h) to
13.51(2)(v) of the Listing Rules nor are there other matters that need to be brought to the attention of the shareholders of the Company.
The Board would also like to express its warmest welcome to Mr. Zhang on taking up the position as the Chairman of the Board, non-executive Director and the chairman of the Nomination Committee.

Resignation of Mr. Tsoi as executive Director of the Company

Mr. Tsoi has tendered his resignation as executive Director of the Company with effect from
1 January 2014. Mr. Tsoi will continue to serve as executive-in-charge of the trading, import/export, wholesale and retail of frozen and non-frozen food products in the People's Republic of China, Hong Kong and Macao and will also devote more time in succession planning for the food business. Mr. Tsoi joined the Group in June 1976 and has been an executive Director since 2007.
Mr. Tsoi confirmed that he has no disagreement with the Board and there is no matter in respect of his resignation as executive Director that needs to be brought to the attention of the shareholders of the Company.
