Datacolor : Werner Dubach initiated cancellation proceedings for the remaining publicly held Datacolor shares

With settlement of the public tender offer on October 16, 2023 for shares of Datacolor AG ("Datacolor shares") Werner Dubach, of Lucerne, in Hergiswil/NW, Switzerland (the "Offeror") achieved together with persons acting in concert with him a total of 99.31% ("participation ratio") of the issued share capital and voting rights of Datacolor AG ("Datacolor"; SIX: DCN). Due to the participation ratio exceeding the threshold of 98% of the share capital and voting rights of Datacolor, the Offeror has initiated on November 6, 2023 proceedings before the competent court to have the remaining publicly held Datacolor shares cancelled pursuant to Art. 137 FinMIA. Upon completion of this process, the remaining Datacolor shareholders will receive a cash compensation in the amount of the tender price of CHF 760.00 net per Datacolor share. The cancellation proceedings usually take five to six months.

As announced by the Offeror in the tender prospectus dated July 27, 2023 ("Prospectus"), Datacolor will now apply to the SIX Swiss Exchange AG to have the Datacolor shares delisted with effect from the date on which the cancellation ruling takes legal effect (see Prospectus, section E.2. (Offeror's intentions regarding Datacolor)).
