Digital Globe Services, Ltd. (AIM: DGS), a leading provider of online customer acquisition solutions for large, consumer-facing organisations, announces the appointment of Mr. Simon Lee as a Non-Executive Director to the Board, effective 1 December 2015. As a consequence of Mr. Amit Basak devoting his full time and attention to his new operations role as President of a company, effective 30 November 2015, the Company received the resignation of Mr Basak, Non- Executive Director of the Board. With Mr. Lee's appointment, the Board will maintain three independent, Non-Executive Directors.
Simon is currently an International Advisor with Fairfax Financial, Chairman of Osirium Ltd, Non- Executive Director of TIA Technology and Chairman of Hospice in the Weald. Simon has extensive experience in international financial services, having spent 17 years with the National Westminster Bank Group, working in a variety of international roles in the UK and US. He was variously Chief Executive, NatWest Offshore, Head of US Retail Banking, CEO NatWest Mortgage Corporation (US) and Director of Global Wholesale Markets.
Until December 2013, he was Group Chief Executive of RSA Insurance Group plc, a FTSE 100 company. Previous to this appointment in 2011, for eight years he was Chief Executive of the Group's International businesses, covering the operations in Canada, Scandinavia, Latin America, Asia and Middle East, Ireland and Italy. He was responsible for the significant restructuring of RSA's international portfolio that occurred between 2003 and 2007. He was appointed as a main Board Director of RSA in 2007.
He also served as Chairman of Codan and Trygg Hansa between 2007 and 2011, was a Non Executive Director of Mutual and Federal (listed on the Johannesburg Stock Exchange) between 2003 and 2005 and was a Non-Executive Director of AIM quoted Conister Trust between 2001 and 2006.

In connection with his appointment, Mr. Lee was granted an option to acquire 74,906 shares in the Company at the price of one pence per share. The vesting of the options is 25% on the six- month anniversary of the appointment and one-thirty-sixth of the balance per month thereafter. Mr. Lee will also receive the Company's standard, independent board member fee of US$35,000 per annum.
In connection with his resignation from the Board, Mr. Basak has exercised his option to acquire 22,370 shares. The Company has notified Mr. Basak of its right of first refusal over the shares and will purchase same at the closing price on 30 November 2015 of 66.50 Pence.
Mr. Lee is an International Advisor to Fairfax Financial, a company that provides advice to SATMAP Incorporated, a portfolio company of The Resource Group International Limited ('TRGI'). TRGI holds 13,858,971 common shares of DGS, representing c. 46% of the voting rights of DGS.
There is no further information on Mr. Lee required to be disclosed under Rule 17 or Schedule Two, paragraph (g) of the AIM Rules for Companies.
