Notice Regarding Change of Company Name of Consolidated Subsidiary

DIGITAL HEARTS HOLDINGS Co., Ltd. (hereinafter referred to as the "Company") announces that, at the Board of Directors meeting held on November 9, 2021, it resolved to leave the decision making regarding the change of the company name of its consolidated subsidiary, DIGITAL HEARTS NETWORKS Co., Ltd., to the Representative Director of the Company, and that the decision was made today. Details are as follows:

1. Reason for changing the company name

As stated in the " Notice of the Group Reorganization (Absorption-type Company Split and Dividend in Kind), Aiming to Accelerate the Growth of Enterprise Business" announced on November 9, 2021, we plan to execute an absorption-type company split (the "Absorption-type company split") on April 1, 2022, in which Enterprise Business of our wholly-owned subsidiary, DIGITAL HEARTS Co., Ltd. ("DIGITAL HEARTS"), will be succeeded by our wholly-owned subsidiary, DIGITAL HEARTS NETWORKS Co., Ltd. ("DIGITAL HEARTS NETWORKS"). The primary objective of this Absorption-type company split is to form a new core company that will lead the entire Enterprise Business of our group and to form an attractive group in which leading-edge quality technology engineers gather naturally. To this end, we have determined that it is indispensable to establish a new brand image different from the color of "entertainment" that our group has developed in the game industry. Accordingly, we have decided to change the company name of our succeeding company,

DIGITAL HEARTS NETWORKS.

1. New company name AGEST, Inc.
   (Ideas in the new company name)
   In order to survive in the DX era, additionally on top of the quality and safety of products, "Agility" with the meaning of responding flexibly to fast-changing customer or client demands has been becoming more important than ever. With our desire to provide software testing services with "Agility", we have combined "Agility", "Test" and "est" into the name "AGEST".
2. Date of company name change December 10, 2021
3. Overview of the consolidated subsidiary

• The "Position and name of the representative" and the "Business activities" will be changed due to the Absorption-type company split. For more information, please refer to the "Notice of the Group Reorganization (Absorption-type Company Split and Dividend in Kind), Aiming to Accelerate the Growth of Enterprise Business" announced on November 9, 2021.

On April 1, 2022, the Company will execute an Absorption-type company split in which Enterprise Business of our wholly-owned subsidiary, DIGITAL HEARTS, will be succeeded to by our wholly-owned subsidiary, DIGITAL HEARTS NETWORKS. On the same date, the Company will distribute all shares of DIGITAL HEARTS's DIGITAL HEARTS NETWORKS in kind ("In-kind dividend").
