Noble announces the Disposal of Interest in Donaldson Coal Holdings Limited

DISPOSAL OF INTEREST IN DONALDSON COAL HOLDINGS LIMITED (“DONALDSON”)
1. The Board of Directors (“Board”) of Noble Group Limited (“Company”) refers to the announcement dated 16 May 2011 made by the Company in connection with the disposal by the Company and its subsidiaries (“Group”) of the Group’s entire shareholding interest in Donaldson (“Previous Announcement”). Unless otherwise defined in this Announcement, all capitalised terms used herein shall bear the same meaning and construction as ascribed to them in the Previous Announcement. 2. The Board wishes to announce that the Disposal has successfully completed on 14 July 2011. 3. As satisfaction of the consideration for the Disposal, the GCL Consideration Shares have been allotted and issued to the Company. The GCL Consideration Shares comprise a total of 36,923,076 new shares in the capital of GCL. 4. The Board also wishes to announce that GCL has completed the Capital Raising pursuant to which 25,535,829 new shares in the capital of GCL were issued for A$229,822,461. 5. Following completion of the Disposal and the GCL Share Issue, and taking into account the Capital Raising, the Company holds an aggregate of 128,687,703 shares in the capital of GCL, representing approximately 63.42 per cent. of the issued share capital of GCL as at the date of this Announcement.
