Reference is made to a news release of J Trust Company Limited ("J Trust") published on its website on 12 January 2018 to provide information on the current situation following J Trust Asia Pte. Ltd. ("JTA") expressing its intention to file complaints with the Department of Special Investigation ("DSI") against the Group Lease PCL ("the Company)" and 2 former GL Directors.

On the basis of the Thai SEC's announcement in October 2017 that it had filed criminal charges against a former director of the Company with the DSI and ordered the Company to correct its financial statements, JTA filed claims for damages against the Company on the basis that the previous investment agreements that JTA had concluded with the Company in Thailand were invalid, as well as civil litigation and criminal charges against the Company and several other companies and individuals in several countries including Thailand.

In January 2018, criminal charges were brought by JTA to the Thai DSI against the Company and two individuals, Muneo Tashiro and Mitsuji Konoshita, former directors of the Company.

On 23 June 2022, the Attorney General issued a final order for non-prosecution against the Company, Muneo Tashiro, and Mitsuji Konoshita. Company had received such notice from Bureau of Financial, Banking and Money Laundering Crime Department of Special Investigation on 30th June 2022 as below:

Reference is made to the fact that the Department of Special Investigation submitted the special investigation case file No. 153/2561 between J Trust Asia Pte Ltd, the Alleger, vs. Group Lease Public Company Limited and others, totaling three Alleged Offenders, on the charges of falsification of accounting records to induce the Alleger into buying convertible debentures, preparation and use of financial statements which are materially false and concealment of material facts that should be revealed with the

aim of inducing the injured person into investment and acquire the investment funds, which constitute an offence under section 341 of the Penal Code and section 217 of the Public Limited Companies Act B.E. 2535, with an opinion for non-prosecution against the 1st, 2nd and 3rd Alleged Offenders on the charge of joint fraud under section 341, read with section 83, of the Penal Code (while the offence under section 217 of the Public Limited Companies Act B.E. 2535 has been separated and incorporated into the special investigation case file No. 36/2561), to the Office of Attorney General for review.

Subsequently, on 23 June 2022, the Attorney General issued a final order for non-prosecution against Group Lease Public Company Limited, represented by Mr. Mitsuji Konoshita and Mr. Muneo Tashiro, authorized directors, the 1st Alleged Offender, Mr. Mitsuji Konoshita, the 2nd Alleged Offender and Mr. Muneo Tashiro, the 3rd Alleged Offender, on the charge of joint fraud under section 341, read with section 83, of the Penal Code.
