Handy & Harman Ltd. Reports Second Quarter Financial Results and Outlook for 2015

WHITE PLAINS, N.Y.--(BUSINESS WIRE)--Jul. 29, 2015-- Handy & Harman Ltd. (NASDAQ: HNH); ("HNH" or the "Company"), a diversified global industrial company, today announced operating results for the second quarter and six months ended June 30, 2015, which are summarized in the following paragraphs. HNH reported net sales of $166.5 million for the quarter, as compared to $168.5 million for the same period in 2014. Income from continuing operations before tax and equity investment was $14.3 million in the second quarter of 2015, as compared to $15.3 million in the 2014 period. Income from continuing operations, net of tax, for the second quarter of 2015 was $6.3 million, or $0.58 per basic and diluted common share, as compared to income of $7.4 million, or $0.56 per basic and diluted common share, for the same period in 2014.

For the six months ended June 30, 2015, net sales were $304.5 million, as compared to $304.0 million for the same period in 2014. Income from continuing operations before tax and equity investment was $18.3 million, as compared to $19.2 million in the 2014 period. Income from continuing operations, net of tax, for the six-month period was $9.5 million, or $0.88 per basic and diluted common share, as compared to income of $4.2 million, or $0.32 per basic and diluted common share, for the same period in 2014.

HNH generated Adjusted EBITDA of $22.5 million for the second quarter of 2015, as compared to $22.9 million for the same period in 2014, a decrease of $0.5 million, or 2.1%. For the six-month period, the Company generated Adjusted EBITDA of $33.1 million, as compared to $34.1 million for the same period in 2014, a decrease of $0.9 million, or 2.8%. See "Note Regarding Use of Non-GAAP Financial Measurements" below for the definition of Adjusted EBITDA.

Based on current information, the Company currently anticipates full-year 2015 net sales and Adjusted EBITDA in the ranges of $634 million to $708 million, and $74 million to $83 million, respectively. The Company's outlook for the third quarter of 2015 is for net sales between $176 million and $216 million and Adjusted EBITDA between $24 million and $29 million. These forecasts include the expected operating results from our previously announced acquisition of JPS Industries, Inc., which was completed on July 2, 2015.

Note Regarding Use of Non-GAAP Financial Measurements

The financial data contained in this press release includes certain non-GAAP financial measurements as defined by the Securities and Exchange Commission ("SEC"), including "Adjusted EBITDA." The Company is presenting Adjusted EBITDA because it believes that it provides useful information to investors about HNH, its business, and its financial condition.
