Share based payments and Total Voting Rights

VPhase plc, (AIM:VPHA), a leading developer of energy saving products for residential and commercial properties, today announces that in accordance with the agreement entered into with the Non-executive directors of the Company, each non-executive director has received the following ordinary shares of 0.25 pence each in lieu of their directors' fees.

The shares have been issued at the closing mid-point on Thursday the 30 May 2013 of 0.45 pence per share.

Application will be made for admission of 1,227,644 Shares to trading on AIM ("Admission"). It is expected that Admission will become effective on or around 14 June 2013.

Following the issue the Company will have a total of 1,389,756,800 Ordinary Shares in issue.

As well as reducing the homes electricity bill, there is evidence that the life of electrical appliances can be extended by the use of this product; light bulbs in particular, have demonstrated at least a doubling of operating life when on a voltage optimised circuit.
