Federal Court of Australia Approves Scheme of Arrangement

21 August 2015: iiNet Limited ("iiNet") announces that the Federal Court of Australia ("Court") has today made orders approving the scheme of arrangement ("Scheme") between iiNet and its shareholders ("iiNet Shareholders") pursuant to sections 411(4)(b) and 411(6) of the Corporations Act 2001 (Cth) ("Court Orders"). The Scheme, if implemented, will result in iiNet becoming a wholly owned subsidiary of TPG Telecom Limited ("TPG").
iiNet expects to lodge a copy of the Court Orders with the Australian Securities and Investments Commission on 24 August 2015, at which point the Scheme will become effective. If this occurs, iiNet's shares will be suspended from trading at the close of trade on the ASX on 24 August 2015.
Information on the Scheme Consideration, Discretionary Dividend and Top-Up Cash Consideration is included in the "ACCC Outcome and Declaration of Special Dividend" announcement made earlier today.
