BoD Il Sole 24 Ore S.p.A.: Roberta Cocco and Gianmario Verona co-opted

to replace independent non-executive Directors Chiara Laudanna and

Fabio Domenico Vaccarono

Milan, 20 December 2022 - Il Sole 24 ORE S.p.A., following the press release dated 10 November 2022 regarding the resignation of Fabio Domenico Vaccarono and of Chiara Laudanna as independent non-executive Directors of Il Sole 24 ORE S.p.A., announces that the Board of Directors met today and, on the proposal of the Appointments and Remuneration Committee and with a resolution approved by the Board of Statutory Auditors, co-opted Roberta Cocco as a non-independentnon-executive Director and Gianmario Verona as an independent non-executive Director.

Roberta Cocco has gained, in the various positions held in both the private and public sectors, solid experience in the field of technological innovation and digital transformation, and has always been committed to civil rights issues, in particular the promotion of gender equality and the dissemination of the value of digital culture among young people. Gianmario Verona is Full Professor of Business Economics and Management at Bocconi University of Milan; his research, teaching and consulting work focuses on strategic and organizational management of technology and innovation. Both Roberta Cocco and Gianmario Verona, in accordance with the provisions of the Bylaws and in the absence of available unelected candidates on the list Fabio Domenico Vaccarono and Chiara Laudanna belonged to, were co-opted according to the ordinary provisions of law. This list had been filed by the Shareholder Confindustria for the election of members of the Board of Directors and had obtained the highest number of votes at the Shareholders' Meeting held on 27 April 2022.

At the same meeting, the Board of Directors ascertained that all the requirements to perform the offices had been met and, with regard to Gianmario Verona, ascertained that the latter possessed the independence requirements envisaged by the applicable provisions of law, the Corporate Governance Code and the Regulation of the Board of Directors. The new Directors, pursuant to Article 2386 of the Italian Civil Code and the Bylaws in force, will remain in office until the next Shareholders' Meeting.

Based on the notices made to the Company, Roberta Cocco and Gianmario Verona do not appear to hold, directly and/or indirectly, at 20 December 2022, any ordinary and/or special category shares of the Company.
