Intersport Polska : Convening EGSM for 15 March 2017

The Management Board of INTERSPORT Polska S.A. with the seat in Cholerzyn, Cholerzyn 382, 32-060 Liszki, a company entered into the Register of Entrepreneurs maintained by the District Court for Krakow-Inner City in Krakow, No 12 Commercial Division of the National Court Register, under the entry: KRS 216182, of the share capital of PLN 1,393,333.40, paid-up in full, registered under NIP (Tax Number) 676-001-65-53, acting pursuant to art. 398, Art. 399 § 1, art. 402 [1], and art. 402 [2] of the Code of Commercial Companies hereby convenes an Extraordinary General Assembly of INTERSPORT Polska S.A., which will be held on 15 March 2017, at 10.00 at the seat of INTERSPORT Polska S.A. in Cholerzyn, Cholerzyn 382, of the following agenda:

1. Opening of the General Assembly.

2. Election of Chairman of the General Assembly.

3. Verification of the correctness of the convening of the Extraordinary General Assembly and its capacity you to adopt binding resolutions.

4. Election of the returning committee.

5. Adoption of the agenda.

5. Adoption of a resolution on increasing the Company's share capital by issuing new shares of Series F, depriving the existing shareholders, in whole, of the pre-emptive rights to all shares of Series F, offering Series F shares through private financing subscription, dematerialization and applying for allowing the rights to the shares of Series F and Series F shares to trading on the regulated market operated by the Warsaw Stock Exchange in Warsaw S.A.

7. Adoption of a resolution on the amendment of the Company's Articles of Association.

3. Adoption of a resolution on deciding a uniform text of the amended Articles of Association.

9. Any other business.

10. Closing of the Meeting.
