Announcement on Capital and Business Alliance with Minimini Group
We hereby inform you that Rescue Insurance Co., Ltd. (Head office: Chiyoda-ku, Tokyo, Representative Director: Mr. Shoji Sugimoto, hereinafter "the Company") has concluded a contract regarding capital and business alliance with Minimini Group Corporation (Head office: Chiyoda-ku, Tokyo, Representative Director: Mr. Daisuke Ohara, hereinafter "the Group").
１．Reason for the Alliance
In order to stabilize its business operations over the medium to long term, the Company has been looking for an alliance partner that can provide business synergies, and has held a series of discussions with the Group regarding a broad range of business alliances, including capital ties.
Real estate brokerage and management company in the Group, such as Minimini Corporation, Minitech Corporation and others, sell fire insurance to tenants of rental housing of casualty insurance companies, and we have reached an agreement with the Group to increase the market share of our fire insurance through this alliance.
We also plan to combine the knowledge of real estate companies and insurance companies to jointly study new insurance products in the real estate field.
Furthermore, the issuance of new shares this time will have the effect of increasing the solvency margin ratio for the Company, leading to the protection of policyholders, and stabilization of the management base.
２．Content of the Capital Alliance
We are a new casualty insurance company that opened for business on July 29, 2019. The shareholders at the time of opening were Japan Best Rescue System Co., Ltd., Nippon Life Insurance Company & Seven Bank Ltd. Since then, there has been no issuance or change of shares, and this is the first issuance of new shares since the opening.
On January 20, 2022, the Company issued 7,300 new shares, all of which were subscribed for by the Group. As a result, the Company's shareholder composition became as shown in the table below.

３．Content of the Business Alliance
Fire insurance for tenants of rental housing is one of our core products, and we expect to earn approximately 100 million yen per year in premium income from our share in the fire insurance for tenants brokered by the Group after January 14, 2022.
４．Future Outlook
Japan as a disaster-prone country, we believe that promoting the purchase of insurance, which is a form of "advance preparation" for disasters that may occur at some point in the future, is essential for building a sustainable society, and in particular, will contribute to the SDGs 17 goal of "11. Sustainable cities and communities".
We will continue to provide solutions to various social issues in order to enhance our corporate value and realize a sustainable society.
