In terms of provisions of Regulation 30 (read with Para A of Schedule III) and other applicable provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company at its meeting held on 4th August, 2023 have approved the following
Re-appointmentof Shri P Veeraiah (DIN:00276769) as the Managing Director of the Company for a period of five years with effect from 1st December, 2023 at a remuneration as determined by the Nomination and Remuneration Committee, subject to the approval of members at the ensuing Annual General Meeting.
Appointment of Shri Vankineni Sivarama Krishna Murthy (DIN:03642007) as an Additional Director in the category of Non-Executive Independent Director to hold office upto the date of the ensuing Annual General Meeting and also subject to the approval of the members, for appointment as a Non-Executive Independent Director of the Company for a period of 5(Five) years with effect from 04.08.2023.
The details as required under Listing Regulations read with SEBI Circular No.CIR/CFD/CMD/4/2015 dated 9th September, 2015, are given in Annexure A attached to this letter.

Kakatiya Cement Sugar and Industries Limited is an India-based company. The Company is engaged in producing, manufacturing, refining, selling and generally to deal in all kinds of portland cement, sugar, generation, and distribution of power. The Company operates through three segments: Cement, Sugar, and Power. Its Cement segment is engaged in producing, manufacturing, refining, and preparing the portland cement. Its Sugar segment deals mainly with the crushing of sugarcane. Power segment generates and distributes the power. The installed capacity of the Company's Cement Division is approximately 297,000 tons per annum (TPA), and that of the Sugar Division is approximately 3,200 tons of cane per day (TCD). Its Sugar Division crushes approximately four lakh metric tons (MT) of sugar cane on an average per year. The Company operates a 17-megawatt (MW) cogeneration power plant. Its sugar site is located at Peruvancha Village, Kalluru Mandal at Khammam District., Andhra Pradesh.
