Articles of Dissolution

Pursuant to KBS Real Estate Investment Trust II, Inc.'s (the "Company") plan of complete liquidation and dissolution, approved by the Company's stockholders on March 5, 2020, the Company anticipates filing its articles of dissolution with the State Department of Assessments and Taxation of Maryland on or about April 24, 2023. In addition, on April 24, 2023, the Company intends to direct its transfer agent to close the Company's stock transfer books and at such time cease recording stock transfers except by will, intestate succession or by operation of law.

KBS Real Estate Investment Trust, Inc. is a real estate investment trust. The Company operates through three segments: real estate, real estate-related and GKK Properties. Under the real estate segment, the Company has invested primarily in office and industrial properties located throughout the United States. Under the real estate-related segment, the Company has invested in or originated mortgage loans, mezzanine loans and other real estate-related assets, including real estate securities. As of December 31, 2016, the GKK Properties segment consisted of primarily office properties, bank branch properties, operations centers and other properties located in 16 states. As of December 31, 2016, it had owned or held a leasehold interest in 90 real estate properties. In addition, as of December 31, 2016, it had owned three real estate loans receivable and a participation interest with respect to a real estate joint venture.
