Item 8.01. Other Events.
As previously reported, on November 27, 2019, Key Energy Services, Inc. (the
"Company") was notified by the New York Stock Exchange (the "NYSE") that the
NYSE determined to delist the Company's common stock ("Common Stock") from the
NYSE. The Company's Common Stock is not currently trading on a national
securities exchange, and the Company's Common Stock registration under
Section 12(b) of the Securities Exchange Act of 1934, as amended (the "Exchange
Act"), was terminated as of March 2020.
On December 14, 2020, the Company filed a Form 15 with the Securities and
Exchange Commission ("SEC") to deregister its Common Stock and suspend its
reporting obligations under Section 15 of the Exchange Act. As a result of
filing the Form 15 with the SEC, the Company will no longer be required to file
certain reports under the Exchange Act, including current reports on Form 8-K,
quarterly reports on Form 10-Q and annual reports on Form 10-K.
