Item 4.01. Changes to Registrant's Certifying Accountant.
On December 19, 2022, Laredo Oil, Inc., a Delaware corporation (the "Company")
engaged BF Borgers CPA PC ("Borgers") as its new independent accountants,
replacing Weaver and Tidwell, L.L.P., whose resignation was accepted by the
Company's Board of Directors on November 29, 2022. During the two most recent
fiscal years and through December 19, 2022, the Company has not consulted with
Borgers regarding either (i) the application of accounting principles to a
specific completed or contemplated transaction; or the type of audit opinion
that might be rendered on the Company's financial statements, and neither a
written report nor oral advice was provided to the Company that was an important
factor considered by the Company in reaching a decision as to the accounting,
auditing or financial reporting issue; or (ii) any matter that was the subject
of a disagreement or event identified in Item 304(a)(1)(iv) of Regulation S-B.
