Item 8.01. Other Events

On July 8, 2021, Luminex Corporation (the "Company"), DiaSorin S.p.A., a società per azioni organized under the laws of the Republic of Italy ("Parent"), and Diagonal Subsidiary Inc., a Delaware corporation and wholly owned indirect subsidiary of Parent ("Merger Sub"), received approval from the Committee on Foreign Investment in the United States ("CFIUS") with respect to the previously announced pending merger of Merger Sub with and into the Company (the "Merger"), with the Company surviving as a wholly owned indirect subsidiary of Parent. The parties have now received all required approvals necessary to complete the Merger. Subject to the satisfaction of the remaining conditions to closing, the Company anticipates that the closing of the Merger will occur on or about July 14, 2021.
