IMPLEMENTATION OF SCHEME



Monday, 22nd February 2016: Vocus Communications Limited ('Vocus', ASX: VOC) is pleased to announce that the Scheme of Arrangement approved by M2 Group Ltd ('M2') ('Scheme') shareholders on 28 January 2016 and the Supreme Court of Victoria on 5 February 2016 was implemented today. In accordance with the Scheme:

  • Vocus issued 300,083,420 new ordinary Vocus shares as consideration for the M2 Shares transferred to a wholly owned subsidiary of Vocus under the Scheme

  • M2 Group Ltd will apply to be removed from the official list of the ASX from the close of trading on Tuesday, 23 February 2016


    The total number of Vocus shares on issue post-implementation is 532,039,306. The following have been appointed as Directors of Vocus with effect from today:

  • Craig Farrow (former M2 Chairman) as Deputy Chairman;

  • Rhoda Phillippo and Michael Simmons as Non-Executive Directors; and

  • Vaughan Bowen, founding CEO of M2 as Executive Director.


James Spenceley, former Vocus CEO and founder of Vocus, will remain on the Board as Executive Director. Geoff Horth, former M2 CEO, has been appointed Vocus CEO.

John Murphy, Steve Baxter, Anthony Davies and Paul Brandling retire from the Vocus Board, effective today. Chairman David Spence would like to thank these esteemed Directors for their many contributions to the business over their years with Vocus.
