MASTERPLAST Nyilvánosan Működő Részvénytársaság (registered seat: 8143 Sárszentmihály, Árpád u. 1/A., hereinafter referred to as "Company", "MASTERPLAST Nyrt.") hereby informs the honourable Investors that on 24 July 2023, the Company and Selena FM S.A. (registered seat: Legnicka 48a, 54-202 Wrocław, Poland, company registration number: 0000292032) entered into a conditional investment agreement on cooperation in PIMCO Kft.

According to the agreement, the acquisition of quota by Selena FM S.A. is, in particular, subject to the condition precedent of approval (or a finding that such approval is not required) of the Hungarian Competition Authority and the convertible loan granted by Selena FM S.A to PIMCO Kft., which becomes the share capital of PIMCO Kft later.

In case of fulfilling the conditions, the share capital of PIMCO Kft. will be increased, as a result of which Selena FM S.A. will acquire a 50% of the shares and voting in PIMCO Kft.

The contribution of Selena FM S.A. to PIMCO Kft. in the transaction will be a maximum of EUR 10 million.

The Company will continue to keep the honourable Investors informed on the development of the transaction.
