Lodgement of Scheme of Arrangement Court Order with ASIC

Murchison Metals Limited (MMX) wishes to advise that it has today lodged with ASIC the Court Order made yesterday by the Supreme Court of New South Wales approving the scheme of arrangement between MMX and its members under which MMX will merge with Mercantile Investment Company Limited (MVT).

A copy of the Court Order is attached.

TERMS OF JUDGMENT/ORDER

1 Pursuant to the Corporations Act 2001 (Cth) subsection 411(4)(b) of the Corporations Act 2001 (Cth) (Act), the scheme of arrangement between the plaintiff, Murchison Metals Ltd ACN 078 257
799 (MMX), and the holders of ordinary shares in MMX, other than Excluded Shareholders, in the form contained in Annexure C of the Explanatory Memorandum, which is Exhibit P1 in this proceeding, be approved.
2 Pursuant to subsection 411(12) of the Act, MMX be exempted from compliance with subsection
411(11) of the Act in relation to Order 1.
3 A reference to an Excluded Shareholder in these orders means: (a) Mercantile lnvestment Company Limited (MVT); (b) Associates (within the meaning given in the Corporations Act 2001) of MVT; (c) any nominees or custodians of an Associate of MVT; and (d) any nominees or custodians of MVT.
4 These orders to be entered forthwith.
