RECEIPT OF LISTING AND QUOTATION NOTICE IN RELATION TO THE ESOS AND PSP

The board of directors (the "Board" or the "Directors") of Natural Cool Holdings Limited (the "Company", and together with its subsidiaries, the "Group") refers to the Circulars to shareholders dated 10 April 2017 in relation to the proposed adoption of Natural Cool Employee Share Option Scheme 2017 and 12 April 2019 in relation to the proposed adoption of NCH Performance Share Plan, respectively ("Circulars").

Unless otherwise defined, all capitalised terms used herein shall bear the same meanings ascribed to them in the Circulars.

The Board wishes to announce that the Company has on 17 May 2019, received the listing and quotation notice ("Notice") from the Singapore Exchange Securities Trading Limited ("SGX-ST"), in relation to the listing and quotation of the new ordinary shares in the capital of the Company ("New Shares") to be issued, subject to the Company's compliance with the SGX-ST's listing requirements, upon:

1. the exercise of the options granted under the Natural Cool Employees Share Option Scheme 2017 ("ESOS"): and
2. the vesting of the awards granted under the NCH Performance Share Plan ("PSP")

The aggregate number of New Shares that may be issued under the ESOS, PSP and any other share option or share scheme of the Company then in force, shall not exceed 15% of the total number of issued share capital of the Company (excluding treasury shares and subsidiary holdings) from time to time.

The Notice is not to be taken as an indication of the merits of the New Shares, the ESOS, the PSP, the Company, its subsidiaries and their securities.
