TCI Co., Ltd. (TPEX:8436) entered into a memorandum of understanding to acquire US manufacturing operations from NewAge, Inc. (NasdaqCM:NBEV) for $3.5 million on July 11, 2021. Under the terms, TCI Co., Ltd. (TPEX:8436) will pay $3.5 million in cash and a share of revenues over the next five years as consideration. As part of the memorandum of understanding, NewAge Inc will sell its US manufacturing operations and US office based in American Fork, Utah to TCI Co., Ltd. The transaction is subject to definitive agreement.
