MATERIAL FACT
Installation and Suspension of the General Meeting of Creditors
Oi S.A. - In Judicial Reorganization ("Oi" or "Company"), in accordance with Paragraph 4 of Article 157 of Law No. 6,404/76 ("Brazilian Corporate Law") and the provisions of the CVM Resolution No. 44/2021, and further to the Material Facts disclosed on February 6 and 16, 2024, hereby informs its shareholders and the market in general that, on this date, the General Meeting of Creditors ("Meeting") of the Company and its subsidiaries Portugal Telecom International Finance B.V. - In Judicial Reorganization and Oi Brasil Holdings Coöperatief U.A. - In Judicial Reorganization ("RJ Debtors") was held.
After the installation of the Meeting, as determined by the 7th Corporate Court of the Capital District of the State of Rio de Janeiro in a decision handed down on March 4th, 2024, the suspension of the Meeting until March 25th, 2024, at 11:00 a.m., was submitted for preliminary deliberation, with the extension of the stay period until the conclusion of the Meeting that deliberates on the Judicial Reorganization Plan of the RJ Debtors. When the matters were put to the vote, they were approved by the majority of the credits present at the Meeting. The Meeting will be resumed in person on March 25th, 2024, at 11:00 a.m., at the Windsor Marapendi Hotel, located at Avenida Lúcio Costa, no. 5.400, Barra da Tijuca, Rio de Janeiro - RJ. The reaccreditation of the creditors or its representatives, present at the Meeting held on this date, will start at 08:30 a.m. and will end at 10:30 a.m.
After the minutes of the Meeting are made available by the Joint Judicial Administration, they can also be consulted on the Company's website (www.oi.com.br/ri) and (https://recjud.com.br), on the CVM's Empresas.NET System (www.cvm.gov.br), and on the B3 S.A. - Brasil, Bolsa, Balcão website (www.b3.com.br).
The Company will keep its shareholders and the market informed about the development of the matter related to this Material Fact.
