QUÉBEC CITY, Dec. 1, 2023 /CNW/ - OpSens Inc. ("OpSens" or the "Corporation") (TSX: OPS) (OTCQX: OPSSF), a medical device cardiology-focused company delivering innovative solutions based on its proprietary optical technology, is pleased to announce that its shareholders (the "Shareholders") have approved the previously announced acquisition by Haemonetics Corporation (NYSE: HAE) of all of the issued and outstanding common shares in the capital of OpSens (the "Shares") for $2.90 in cash per Share, pursuant to a statutory plan of arrangement (the "Arrangement") under the Business Corporations Act (Québec).

At the special meeting of Shareholders held earlier today (the "Meeting"), the Arrangement was approved by approximately 97.96 % of the votes cast by Shareholders present virtually or represented by proxy at the Meeting. Subject to receiving the final order of the Superior Court of Québec and satisfaction of customary closing conditions, it is currently expected that the Arrangement will be completed by mid-December 2023.
