I. register any and all transfers of Shares (in relation to any or all of the Chargors) I submitted to the Subject Entity for registration by the Lender or its nominee in the I Register of Members of the Subject Entity as soon as practicable following the I submission of such transfers; I

2. make a notation of the security interests created pursuant to the Share Charge (as I

defined below) in the Register of Members of the Subject Entity and to promptly

provide a certified copy thereof to the Lender; and

3. mai ntain the Register of Members of the Subject Entity at all times in the Cayman Islands.

This Undertaking is given pursuant to a deed of share charge dated 2016, by Alpha Top Group Lim ited, B rill iant Lead Group Limited, Ever Sound Deve ment Limited, and Xu's Sport Company Li mited (the "Chargors" and each a "Chargor") in favour of China Merchants Bank Co., Ltd., Hong Kong Branch as lender (as amended and/or supplemented from time to time, the "Share Charge"), and any capitalised terms used herein and not otherwise defined herein shall have the meanings given such terms in the Share Charge.

This Undertaking is governed by and shall be construed in accordance with the laws of Hong Kong.
