Cancellation of Listing and Closing of offer from AI PG LLC, part of the Access Industries Group ("Access Industries") (the "Offer")

Cancellation of Listing

The independent directors of Perform (the "Independent Directors") note the announcement made by Access Industries on 7 November 2014 confirming its intention to procure that the Company makes applications to cancel the listing of Perform Shares on the premium listing segment of the Official List of the UK Listing Authority and their admission to trading on the London Stock Exchange's main market for listed securities.

The Independent Directors confirm that applications have now been made to the UK Listing Authority and the London Stock Exchange to request the cancellation of the listing of the Perform Shares on the premium listing segment of the Official List of the UK Listing Authority and their admission to trading on the London Stock Exchange's main market for listed securities. The cancellation of listing is expected to take place on 8 December 2014 at 8:00 a.m.

Closing of the Offer

The Independent Directors note the announcement by Perform on 11 November 2014 that the Offer will close at 1.00pm (London time) on 2 December 2014 and will not be further extended.

The Independent Directors draw Perform shareholders' attention to the announcement made by the Independent Directors on 7 November setting out the factors they believe Perform shareholders should consider in deciding whether or not to accept the Offer.
