TORONTO, Jan. 26, 2012 /CNW/ - PetroMagdalena Energy Corp. (TSXV: PMD) today announced that it has entered into an agreement to issue shares to settle certain debt owed to Pacific Rubiales Energy Corp. in connection the exploration program at the Topoyaco block.

Luciano Biondi, Chief Executive Officer of the Company stated: "We have taken many steps in 2011 to improve the Company's balance sheet and preserve our liquidity to re-invest in our ongoing exploration and development program in our core oil assets. This debt settlement transaction eliminates the need for us to use our existing cash balances to settle the remaining amounts owing to Pacific Rubiales."

The Company owes Pacific Rubiales approximately US$6 million in connection with a cash call due to Pacific Rubiales as at December 31, 2011 for the Topoyaco exploration program.

The shares for debt agreement was negotiated at arms-length between the two parties on January 19, 2012. Although the closing price of the Company's common shares on the TSX Venture Exchange ("TSXV") on January 18, 2012 was CA$1.10 per share, the parties agreed that the shares for debt transaction would be completed using a deemed share price of CA$1.25 per share. As such, the Company will be issuing 4,826,600 (calculated using the Bank of Canada exchange rate at the close of January 19, 2012) common shares in settlement of the above-noted debt. The issuance of these common shares is subject to approval from the TSXV.
