On March 18, 2020, Pope Resources, a Delaware Limited Partnership ("Pope Resources") (NASDAQ: POPE) issued a press release announcing that Rayonier Inc. ("Rayonier") (NYSE:RYN") filed with the Securities and Exchange Commission (the "SEC") a registration statement on Form S-4 to register the shares of Rayonier common stock and units representing partnership interests in an entity that will be its operating partnership, Rayonier LP ("Opco") to be issued in connection with the previously announced merger among Pope Resources and its managing general partners, on the one hand, and Rayonier, OpCo and certain of their respective subsidiaries, on the other hand. The registration statement included a preliminary proxy statement/prospectus that is subject to completion and change. The press release is filed herewith as Exhibit 99.1 and is incorporated by reference herein. After the registration statement is declared effective, a definitive proxy statement/prospectus will be sent to Pope Resources unitholders.
