Court sanction of scheme of arrangement

The boards of Poundland Group plc ('Poundland') and Steinhoff International Holdings N.V. ('Steinhoff') are pleased to announce that the High Court of Justice in England and Wales has today sanctioned the scheme of arrangement under Part 26 of the Companies Act 2006 (the 'Scheme') by which the recommended cash offer by Steinhoff Europe AG ('SEAG') for the entire issued and to be issued share capital of Poundland not already directly or indirectly owned by it (the 'Offer') is being implemented.

It is expected that the Effective Date of the Scheme will be tomorrow, Friday 16 September 2016, when the Court Order will be delivered to the Registrar of Companies. The cash consideration due under the Scheme will be paid to holders of Scheme Shares on the register of members of Poundland at the Scheme Record Time, being 6.00 p.m. today.

Poundland and Steinhoff further announce the following changes to the expected timetable of principal events for the Offer set out on page 3 of the scheme document published on 12 August 2016 in relation to the Offer (the 'Scheme Document'):

· trading in Poundland Shares on the London Stock Exchange's main market for listed securities and the listing of Poundland Shares on the premium listing segment of the Official List of the UK Listing Authority will now be suspended with effect from 7.30 a.m. (UK time) tomorrow, Friday 16 September 2016; and

· the de-listing of Poundland Shares from the premium listing segment of the Official List of the UK Listing Authority and the cancellation of the admission to trading of Poundland Shares on the London Stock Exchange's main market for listed securities, which have been applied for, are expected to take effect at 8.00 a.m. (UK time) on Monday 19 September 2016.

In all other aspects the expected timetable of principal events remains the same and is as follows:

Poundland further announces that, having each given notice of their intention to resign with effect from the Effective Date, the non-executive directors of Poundland (being Darren Shapland, Miles Roberts, Tea Colaianni, Grant Hearn, Tim Jones and Mary Barnard) will stand down with effect from 16 September 2016.
