In accordance with ASX Listing Rule 3.13.2 and section 251AA(2) of the Corporations Act 2001 (Cth), Programmed advises that all resolutions put to the Annual General Meeting of members held today were carried by poll, with voting results set out in the attached report.
Further information in respect of each resolution is set out below. 1.) Adoption of Remuneration Report
The Remuneration Report (which forms part of the Directors' report for the year ended 31 March 2017) was adopted.
2.) Re-election of Emma Stein as a Director
Emma Stein was re-elected as a Director.
3.) Grant of Performance Rights to the Managing Director and issue of shares on vesting of those Performance Rights
Approval was given, for the purposes of ASX Listing Rule 10.14 and for all other purposes, for the grant of 300,000 Performance Rights to the Managing Director pursuant to the terms of Programmed's Managing Director's Long Term Incentive Plan, and the issue or transfer of any shares on the vesting of those Performance Rights.
