LLX Logistica : Material Fact - MTO (Economic Valuation Report)

Prumo Logística S.A.(the "Company") (Bovespa: PRML3), in accordance with article 157, paragraph 4 of Law No. 6,404/76, Instruction No. 358/02 and Instruction No. 361/02 of the Brazilian Securities Commission - CVM, in view of the public offer for the acquisition of the outstanding shares issued by the Company for the cancelation of its registration in category A, as well as its withdrawal from the Novo Mercado Special Corporate Governance listing segment of the BM&FBovespa S.A. - Stock, Commodities and Futures Exchange ("Novo Mercado"), to be performed by its controlling shareholders, as disclosed in the Material Fact of October 14, 2016 ("Public Offer"), hereby informs its shareholders and the market in general the following:

(i) The Company received the Economic Valuation Report on the Company's shares (the "Valuation Report"), prepared by Brasil Plural S.A. Banco Múltiplo, the appraiser selected by the holders of outstanding Free Float Shares of the Company (as defined in the Novo Mercado Listing Regulation) at the Extraordinary Shareholders' Meeting of the Company held on November 25, 2016.

(ii) The Valuation Report indicates that the economic and fair market value of the Company's shares is within the range of R$ 9.98 to R$ 11.03 per share.

Considering that the Valuation Report indicated a range of economic and fair market value of the Company's shares that is higher than the maximum price of R$6.69 (six reais and sixty nine cents) per share, the Company's controlling shareholders informed the Company that they will advise the market about the review of the terms of the Public Offer or its cancellation until January 13, 2016.

The Appraisal Report is being disclosed simultaneously with the disclosure of this Material Fact Statement through the Empresas.Net system of CVM and BM&FBOVESPA and on the Company's Investors Relations website. The Appraisal Report is also available for consultation at the main offices of the Offerors, of the intermediaries and of the Company. The Company will keep the market and the shareholders informed of any developments regarding the Public Offer, in accordance with the applicable regulation.
