Jasa Marga and Margautama Nusantara Sign Sales Purchase Agreement for PT Jasamarga Jalanlayang Cikampek

Jakarta (10/11) - PT Jasa Marga (Persero) Tbk (Jasa Marga) and PT Margautama Nusantara (MUN) formally signed the Sales Purchase Agreement (SPA) for PT Jasamarga Jalanlayang Cikampek (JJC), a subsidiary PT Jasamarga Transjawa Tol (JTT) which controls the MBZ Flyover on Monday (10/10). The PT JJC SPA was signed by Subakti Syukur, the President Director of Jasa Marga, and Danni Hasan, the President Director of PT MUN.

Anton Sujarwo, PT JTT Business Director Pratomo Bimawan Putra, Further with agreement of the two parties to finalize the signing of the SPA, Jasa Marga divested 40% of the remaining 80% of its interests in PT JJC. PT JJC's current shareholders include PT JTT, that is a subsidiary of Jasa Marga, PT MUN, that is a subsidiary of PT NI, and PT RSP, that owns the remaining 20%.

This corporate action is part of Jasa Marga's corporate strategy, that includes a program to recycle assets in order to optimize the company's business portfolio. The goal of this optimization is to strike a balanced development ratio thus preserving the company's operations. Subakti Syukur, President Director of Jasa Marga, stated that Jasa Marga's interactions with PT MUN's management over the past few months led to their agreement to move through with the signing of the PT JJC SPA, that will undoubtedly be beneficial to all parties involved.

"I would like to congratulate PT MUN on being a strategic partner of Jasa Marga and PT RSP in the operation of the MBZ Flyover. This toll road is a strategic route that plays a vital part in the Trans Java Toll Road network, with increasing traffic volumes year after year. I believe that Jasa Marga and PT MUN share the same vision in terms of achieving a professional, efficient, and sustainable toll road operation, inclusive of putting the highest value on providing the finest service to toll road users " said Subakti.

"After a lengthy acquisition procedure, MUN has obtained Jasa Marga's 40% interest in PT JJC thereby adhering to the standards of Good Corporate Governance" (GCG). Danni stated that this corporate move is one of the Company's business strategy for the development of important toll roads in urban regions with a sustained traffic growth rate," said Danni.​

PT JJC is a Toll Road Business Entity that has operated the 38 km MBZ Flyover from 2019 with concession rights for 45 years (2017 to 2062). The MBZ Flyover connects Cikunir to West Karawang, providing an alternate route for longdistance toll road customers who also distribute traffic volume on the Jakarta-Cikampek Toll Road. With the integrated operation of the MBZ Flyover, the density in the Jakarta-Cikampek segment may be dispersed effectively and efficiently, resulting in an increase in traffic flow on this route, as it is the primary link between the Jakarta area and the east.

Overview of Jasa Marga

PT Jasa Marga (Persero) Tbk is the first and largest toll road firm in Indonesia and a State-Owned Enterprise (BUMN) in the field of toll road development and operation. Nowadays, Jasa Marga operates 1,260 kilometers of toll roads, that accounts for fifty percent of all active toll roads in Indonesia, with a total toll road concession of 1,809 kilometers.

PT Jasamarga Transjawa Tol operates Jasa Marga Group toll roads at the parent, subsidiary, and subholding levels. The corporation has two subsidiaries that focus on toll road operation and maintenance, namely PT Jasamarga Tollroad Operator and PT Jasamarga Tollroad Maintenance, and one subsidiary that focuses on prospective business, PT Jasamarga Related Business.

Overview of Margautama Nusantara (MUN)

PT Margautama Nusantara (MUN) is the Strategic Business Unit of toll road management and development company PT Nusantara Infrastructure Tbk (NI). PT Bintaro Serpong Damai (BSD), PT Makassar Metro Network (MMN), and PT Jalan Tol Section Four are subsidiaries of MUN (JTSE). PT Bintaro Serpong Damai (BSD), which began operations on February 2, 1999, is the concession holder for the 7.25-kilometer toll road connecting the Jakarta neighborhoods of Serpong and Pondok Aren. The Serpong - Pondok Aren Toll Road is a toll road constructed and operated in partnership with Jasa Marga by BSD.

PT Makassar Metro Network (MMN) holds the concession for the 6.05-kilometer toll road connecting the SoekarnoHatta port and A.P. Pettarani (Section 3) (Urip Sumoharjo overpass) in Makassar. Additionally, the MMN Toll Road is connected to the Section IV Toll Road (JTSE), that is the primary route connecting cities. MMN has finished the building of the A.P. Elevated Toll Road in Pettarani, that stretches for 4.3 kilometers and aims to alleviate traffic congestion. The building of the Pettarani Toll Road begins at the end of the Section 2 Toll Road, namely at the Jl. Urip Sumoharjo, continues via the intersections of Jl. Boulevard Panakkukang and Jl.
JTSE is the concession holder of the 11.57-kilometer Portion IV Toll Road section in Makassar, that offers access to Sultan Hasanuddin International Airport and is connected to toll highways run by PT Makassar Metro Network (MMN) from the Tallo bridge to the Mandai Makassar intersection. In addition, as a source of pride for the city of Makassar, PT JTSE received an award from the Ministry of Public Works and Public Housing (PUPR) on December 3, 2021 for having the best toll road in Indonesia based on road lengths under 15 kilometers.
