Extraordinary general meeting on 24 October 2014:
Swisscom proposes new PubliGroupe Board of Directors

Lausanne, 8 September 2014 - Following the successful conclusion of the public takeover of PubliGroupe by Swisscom on 5 September 2014, an extraordinary general meeting will be held on 24 October 2014 during which the new board of directors will be elected. Going forward Swisscom will provide the Chairman of the Board as well as two further board members.

At the extraordinary general meeting on 24 October 2014 ,Ueli Dietiker will be newly proposed to the general meeting for election as Chairman of the Board, along with Mario Rossi, Thomas Schönholzer (all Swisscom) and Hans-Peter Rohner (PubliGroupe) as board members. At the same time, the previous board members of PubliGroupe Pascal Böni, Christian Budry, Andreas Schönenberger, Christian Unger and Christian Wenger will be stepping down. Hans-Peter Rohner will give up his mandate as Chairman of the Board.

In addition to the new election of the Board of Directors, the general meeting will also decide upon the planned sale of the minority participation of 25.07% in FPH Freie Presse Holding AG to the "AG für die Neue Zürcher Zeitung (NZZ-Mediengruppe)", which already holds the remaining 74.93% of the company's capital. The planned transaction amounts to CHF 53 million.

The general meeting will also vote on the sale of PubliGroupe shares to Swisscom Directories AG (49% PubliGroupe) and LTV Gelbe Seiten AG (51% PubliGroupe) to Swisscom. Swisscom will initiate the necessary steps for the consolidation of the three local.ch companies (Swisscom Directories AG, LTV Gelbe Seiten AG and local.ch AG), which are to be legally merged later this year.

Swisscom will dispose of the media participations of PubliGroupe, as announced earlier. In regard to the remaining participations, Swisscom will continue to review all options through the end of the year. PubliGroupe Holding will (remain in existence) for the time being.

As previously announced with the definitive result on 29 August 2014, Swisscom will apply for the cancellation of all non-tendered PubliGroupe shares in the coming weeks (squeeze-out). In addition, PubliGroupe Ltd will be delisted from the SIX Swiss Exchange.
