Request for delisting of all PubliGroupe shares following cancellation process of all remaining publically held shares
Lausanne, 1 October 2014 - In accordance with its previously communicated intentions, the Board of Directors of PubliGroupe Ltd decided to file a delisting request of PubliGroupe (PUBN) shares with the SIX Swiss Exchange and submit an application for exemption from reporting obligations for maintaining listing.
The delisting is requested for the end of the share cancellation process of all remaining publically held shares. The request for cancellation was sought by Swisscom Ltd. who holds more than 98% of PubliGroupe voting rights; the procedure should last between 5 to 6 months.
The request for exemption from reporting obligations first and foremost concerns ad hoc reporting requirements, management transaction reporting requirements and obligations in regard to periodic financial reporting. An exemption is justified because the minority shareholders (1.63% of the capital) will receive an already established price of CHF 214 per cancelled share at the end of the share cancellation process, which corresponds to the offer price. Accordingly, the economic development of PubliGroupe SA no longer plays a role for public shareholders. PubliGroupe SA will certainly continue to communicate any important developments related to the share cancellation process.
The two requests were submitted today.
The invitation to the Extraordinary General Meeting of PubliGroupe on 24 October 2014 will be published in the Swiss Official Gazette of Commerce (SOGC) tomorrow, 2 October 2014. As of tomorrow 7am the invitation with the agenda will be available at www.publigroupe.com.
