Edwin Henry Dednam cancelled the acquisition of Delfiwiz Pty Ltd from Rebosis Property Fund Limited.

Edwin Henry Dednam signed a sale agreement to acquire Delfiwiz Pty Ltd from Rebosis Property Fund Limited (JSE:REB) for ZAR 100 on July 12, 2019. As part of the transaction, Rebosis will dispose the entire issued share capital in, and the claims of Delfiwiz Pty Ltd, being any amount owing by Delfiwiz Pty Ltd to Rebosis in respect of claims receivable by Delfiwiz from New Frontier Properties Limited. In related transactions, Edwin Henry Dednam also signed sale agreements to acquire Lesasign Proprietary Limited and Delfitime Proprietary Limited from Rebosis Property Fund Limited for ZAR 100 each and Orion Hotels & Resorts (Africa) Proprietary Limited signed sale agreements to acquire Clyroplex Proprietary Limited, Delficraft Proprietary Limited and Delfiflo Proprietary Limited from Rebosis Property Fund Limited for ZAR 100 each on July 12, 2019. Delfiwiz Proprietary Limited, Lesasign Proprietary Limited and Delfitime Proprietary Limited, will on the closing date collectively hold 20.35% of the issued share capital of New Frontier Properties Limited while Clyroplex Proprietary Limited, Delficraft Proprietary Limited, Delfiflo Proprietary Limited and Delfisat Proprietary Limited will on the closing date collectively hold 29% of the issued share capital of New Frontier Properties Limited. The transaction is subject to conditions precedent which are standard for transactions of this nature and include obtaining the relevant consents from the financiers, to the extent required by no later than July 19, 2019. The closing date of the transaction will be on the first business day after the date on which the conditions precedent are fulfilled or waived.
