Item 2.01 Completion of Acquisition or Disposition of Assets
On March 9, 2022, RedHawk Land & Hospitality LLC ("RedHawk Land"), a
wholly-owned subsidiary of the Registrant, sold its commercial property leased
to the 3rd Circuit Court of Appeals for the State of Louisiana located on
Jefferson Street in Lafayette, Louisiana (the "Property") pursuant to a Purchase
and Sale Agreement (the "Agreement") dated January 19, 2022. There are no
relationships, other than with respect to the Agreement, between RedHawk Land,
the Registrant and the buyer. The aggregate gross sale price for the Property
was $450,000. The proceeds from the sale were used to pay closing costs, pay in
full a certain real estate loan in the principal amount of approximately
$185,000 plus accrued interest and to provide working capital.
