PROPOSAL OF RESOLUTION
ITEM 9 OF THE AGENDA FOR THE ANNUAL GENERAL SHAREHOLDERS MEETING
OF MAY 9, 2024
Considering that:
The Remuneration Committee of REN - Redes Energéticas Nacionais, S.G.P.S, S.A. (hereinafter referred to as "REN") is composed of three members to be elected at this General Meeting, under the terms of paragraph d) of number 2 of article 8 and article 26 of the respective Articles of Association;
It is in REN's corporate interest to ensure that the remuneration of the members of its governing bodies is adjusted to the duties and responsibilities they perform, is competitive and equitable, and is in line with the best practices and latest trends at national and European level.
The Shareholders propose that REN's General Meeting resolves:
To set the remuneration conditions for the members of the Remuneration Committee, for the term of office corresponding to the three-year period 2024-2026, in the following terms:
The remuneration of the Chairman of the Remuneration Committee shall correspond to a gross annual amount of 12,000.00 Euros (twelve thousand euros);
The remuneration of the Members shall correspond to a gross annual amount of 10,000.00 Euros (ten thousand euros).

REN - Redes Energéticas Nacionais, SGPS, S.A. specializes in the operation and concession management of the Portuguese electricity transportation network. Net sales break down by activity sector as follows:
- electricity (63.7%): transportation of electricity from producers to end distributors and consumers, management of the electricity transportation network (connecting user installations to the network, maintenance of the network, etc.). At the end of 2022, the network has a total of 9,424 Km;
- gas (34.8%): transportation of natural gas from producers to end distributors and industrial consumers, underground storage of natural gas, receiving, storage, and regasification of liquid natural gas (LNG), infrastructure construction and maintenance services, etc.;
- telecommunications (1.3%);
- other (0.2%).
