Russel Metals Inc. (TSX:RUS) entered into an agreement to acquire Seven Service Centers of Samuel, Son & Co., Limited for approximately CAD 230 million on December 4, 2023. The assets to be acquired include five locations in Western Canada and two locations in the US Northeast. The purchase price is based on the net book value of the working capital, which was approximately CAD 186 million at September 30, 2023, plus the net book value of the related equipment and machinery for CAD 29 million plus an additional CAD 10 million and subject to closing working capital and other normal course adjustments. As part of the transaction approximately 340 Samuel employees join the Russel family. The transaction will be financed from our cash on hand, which totaled CAD 569 million on September 30, 2023. For 2022, the seven service centers acquired had revenue of CAD 704 million and adjusted EBITDA of CAD 33 million. The transaction is subject to Canadian regulatory clearance as well as other customary closing conditions and is expected to close in the first or second quarter of 2024. As per the announcement dated on April 15, 2024 the Transaction is no longer expected to close in the second quarter of 2024.
