Item 8.01 Other Events
As previously disclosed, on September 24, 2019, Sanchez Energy Corporation (the
"Company"), Wilmington Savings Fund Society, FSB, as agent (the "Agent"), and
the Required Lenders (as defined in the Loan Agreement (as defined below))
entered into an amendment (the "Amendment") to that certain Senior Secured
Debtor-in-Possession Term Loan Credit Agreement, dated as of August 16, 2019
(the "Loan Agreement"), by and between the Company, the Agent and the lenders
party thereto, which, among other things, provided for potential future
extensions of certain milestone dates set forth in the Loan Agreement with the
consent of the Required Lenders. On November 27, 2019, as contemplated and
permitted by the Amendment, the Required Lenders provided written notice of
their consent to an extension of the milestone date for the filing by the
Company of an Acceptable Plan of Reorganization (as defined in the Loan
Agreement) and related disclosure statement from the original milestone date of
November 29, 2019 to December 13, 2019.
