Milan, Italy, October 12, 2015 - Sorin S.p.A. (MTA; Reuters Code: SORN.MI) ('Sorin'), a global medical device company and a leader in the treatment of cardiovascular diseases, announced that the merger deed relating to the completion of the cross-border merger of Sorin with and into its U.K. subsidiary, LivaNova PLC ('LivaNova') (the 'Sorin Merger') has been executed and registered today with the Milan companies' register. The Sorin Merger will become effective at 12:01 a.m. GMT on October 19, 2015. Thereafter, at 12:01 a.m. EDT on October 19, 2015, the merger of Cypher Merger Sub Inc., a U.S. subsidiary of LivaNova, with and into Cyberonics, Inc. (NASDAQ: CYBX, 'Cyberonics'), a medical device company with core expertise in neuromodulation will also become effective (the 'Cyberonics Merger').
