ANNOUNCEMENT PURSUANT TO RULE 13.09 OF THE LISTING RULES

This announcement is made by Sound Global Ltd. (the "Company") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange").

WITHHOLDING OF DELISTING

As disclosed in the announcements of the Company dated 29 August 2019, 12 September 2019 and 26 February 2020, after consultation with the Securities and Futures Commission, the Stock Exchange had withheld exercising its rights to cancel the listing of the Company under Rule 6.01A(2)(b)(ii) of the Listing Rules until 31 July 2020.

According to the letter from the Stock Exchange dated 25 August 2020 and our subsequent conversations with the Stock Exchange, we are informed that, after further consultation with the Securities and Futures Commission, Stock Exchange will further withhold exercising its right to cancel the listing of the Company under Rule 6.01A(2)(b)(ii) of the Listing Rules for six months, until 31 January 2021.

For the avoidance of doubt, the above decision is without prejudice to the Stock Exchange exercising its right under Rule 6.01A of the Listing Rules immediately after the six month period expires. The Stock Exchange has also reserved all its rights under the Listing Rules.

CONTINUED SUSPENSION OF TRADING

Trading in the shares of the Company on the Stock Exchange has been suspended with effect from 9 a.m. on 13 April 2016 and will remain suspended until further notice.

The Company will keep the Shareholders and potential investors informed of any material development in connection with the above matters by way of periodic announcements and/or further announcement(s) as and when appropriate.
