APPOINTMENT OF CHIEF FINANCIAL OFFICER

This is a voluntary announcement made by Ta Yang Group Holdings Limited (the "Company") to provide its shareholders and potential investors with information in relation to the latest developments regarding the Company.

The board of directors (the "Board") of the Company is pleased to announce that Mr. Liu Tao ("Mr. Liu") has been appointed as the Chief Financial Officer of the Company with effect from 25 November 2019.

The biographical details of Mr. Liu are set out below:

Mr. Liu, aged 31, graduated from University of International Business and Economics with a bachelor's degree in Insurance in June 2010. Mr. Liu joined the Company in June 2018 and is currently the board secretary of the Company.

Mr. Liu is a certified public accountant (CPA) of the People's Republic of China. Mr. Liu was a senior auditor at the Bejing office of PricewaterhouseCoopers Zhong Tian LLP from October 2010 to May 2014 and he was closely involved in the pre-listing or post-listing audit of various listed companies. From May 2014 to May 2015, Mr. Liu was appointed as the Assistant to the chairman at 中泰创展控股有限公司(ZhongTai Specialty Financing Holdings Limited*) responsible for inter-departmental communications and arranging for the management meetings and with senior management; from May 2015 to August 2016, Mr. Liu was internally redesignated as the Assistant Manager at the Innovative Business Department responsible for exploring equity investment opportunities in various A-share

listed companies and private companies and conducting due diligence on the acquisition targets. Mr. Liu was a Senior Investment Manager at 宁波梅山保税港区普曜投资管理有 限公司 (Ningbo Meishan Bonded Port Puyao Investment Management Company Limited*) during August 2016 to November 2017 and 天九共享企业孵化投资集团有限公司 (Tojoy Sharing and Enterprise Incubation Investment Group Company Limited*) during November 2017 to June 2018 assisting on various investment projects in the education, fintech, e-commerce, information technology sectors.
