Thai Union Frozen Products Public Company Limited Appoints Dr. Thamnoon Ananthothai as Member of the Audit Committee

The Board of Directors meeting/shareholders meeting of Thai Union Frozen Products Public Company Limited No. 6/2557(2014) held on 15 October 2014 resolved the appointment of Dr. Thamnoon Ananthothai as member of the audit committee. The appointment shall take an effect as of 15 October 2014.

Determination in the scope of duties and responsibilities of the audit committee are perform: nsure that Board's directions are fully followed; maintain transparency; provide Internal Audit Department with task guidelines; review and approve annual internal audit plan submitted by Internal Audit Department; mange potential conflicts of interest; ensure full compliance with applicable requirements, laws and regulations; and give opinions and assess an adequacy of internal controls and report to Board of Directors; review significant information in financial reports and provide guidelines for preparing such reports and relevant analysis prior to submission to Board of Directors; devise policy on commercial best practice with emphases on prohibitions and responsibilities applied to staff; coordinate with external parties, e.g. independent auditor, the Securities and Exchange Commission, the Stock Exchange of Thailand, for opinions on the company's internal controls and review of relevant regulations; prepare the Audit Committee report to disclose in the company's annual report. The Audit Committee report should be in line with the Securities and Exchange Commission's rules; to review the Company's internal control system and internal audit system to ensure that they are suitable and efficient, to determine an internal audit unit's independence, as well as to approve the appointment, transfer and dismissal of the chief of an internal audit unit or any other unit in charge of an internal audit; and consider the appointment of the Independent Auditor to certify the financial statement and propose the audit fee to the Board of Director to be approved in the Shareholders' meeting, as to attend a non-management meeting with an auditor at least once a year.
