PW Partners Atlas Fund II, LP, managed by PW Partners Capital Management LLC, signed an agreement to acquire 5.1% stake in Town Sports International Holdings, Inc. from HG Vora Special Opportunities Master Fund, Ltd., managed by HG Vora Capital for $2.3 million.

Town Sports International Holdings, Inc. is a holding company, which conducts its operations through its clubs. The Company owns and operates approximately 185 fitness clubs under various brand names, primarily located in the United States of America. It owns 99 clubs under its New York Sports Clubs brand name; 31 clubs under its Boston Sports Clubs brand name; 16 clubs under its Lucille Roberts brand name; 10 clubs under its Total Woman Gym and Spa brand name; nine clubs under its Washington Sports Clubs brand name; five clubs under its Philadelphia Sports Clubs brand name; three clubs under its Palm Beach Sports Clubs brand name; one club under its Christi's Fitness brand name; six clubs under its brand Around the Clock Fitness brand name; two clubs under its LIV Fitness brand name; and three clubs under its New York Sports Clubs brand name in Switzerland.
