Computer Programs and Systems, Inc. (NasdaqGS:CPSI) acquired Viewgol for $67.5 million on October 16, 2023. Under the terms of the agreement, the purchase price is $36 million in cash, with an additional earnout of up to approximately $31.5 million based on a combination of achieving certain profitability metrics for 2024 and the creation of additional offshore resources supporting TruBridge. Willis Towers Watson advised CPSI in the transaction. McDermott, Will, & Emery acted as legal advisor and Grant Thornton acted as accountant to CPSI. Brentwood Capital Advisors acted as financial advisor, Morris, Manning, & Martin acted as legal advisor and Meredith CPAs acted as accountant to Viewgol. AZB & Partners acted as legal advisor to Computer Programs and Systems.
