While it is too early to measure the impact on the sales revenue, the Group's operational (deployment of Vision Consulting Group in Belgium) and financial reorganization that was put into place at the end of 2011 will demonstrate a positive impact on the Group's results once they are published this upcoming March 25th.
During the 2012 fiscal year, the Group continued to reorganize its subsidiaries in order to improve synergy between countries and the quality of services provided to clients. The Group has also strongly reinforced its management teams and has increased investment in R&D to consolidate its 4 large offers (Consulting & Training, Software Quality, Innovative Business Applications, IT Operations & Cloud). Subsidiaries and activities not in line with this
strategy have been discontinued.

France: on-going business steady

In France, business activity remained steady with revenues at €45.0M, a slight decrease of
1.5% when compared to 2011. The entity resisted well despite strong pressure on prices coming from a few large customers. The high staff turnover rate has been very penalizing, but the strengthening of the management team and the increasing numbers of quality projects are expected to allow a quick return to a positive organic growth.

Benelux: 28.0M€ of sales revenue

The Benelux region shows a decrease of 7.3% in sales revenue compared to last year's figures, mainly penalized by difficulties encountered in Luxembourg (-14.6%). The managerial reorganization implemented in this country has already generated new business and put the entity back on track.
In the Netherlands, the Group showed a decrease of 12.3% in comparison to 2011 figures, mainly resulting from costs related to restructuring in 2011. In compensation, the subsidiary has renewed with a very good profitability during 2012.
Belgium remained stable with a slight increase in sales revenue (+0.6%). Consulting operations continued to develop during H2 under the brand Vision Consulting Group following the merger of Vision IT Group Belgium North NV and Vision Consulting Group SA. The consolidation step reinforces the Group's goal of generating more visibility in the consulting sector. Vision Consulting Group has become in a few years one of the major players of consulting in Belgium.

Germany generates €19.2M of sales revenue

Germanyrecorded €19.2M of sales revenue, a decrease of 11.9% compared to last year and mainly because of recruitment difficulties that severely impacted growth. Several small subsidiaries (SPS Consulting & Services, Vision IT Unternehmensberatung, Cafra and MvB Consulting) have been discontinued during the 2012 fiscal year as they were no longer in line with the Vision IT Group strategy.

Business remains positive and very active, however, in the Southern Region of Germany with successful business coming from major customers such as Daimler and BMW, and the signing of large new accounts such as Porsche and BASF.

Southern Europe (Spain, Portugal & Italy) resist

Southern Europehas withstood the complicated economic climate. The region has recorded

€13.1M of revenue for 2012, a decrease of only 5.8% despite tough market conditions. Moreover, the Group discontinued its intellectual services business because of its weak
added value in order to concentrate on the more profitable health sector.

2013: Deployment of New Strategic Plan - Next Vision

While the global European climate remained difficult in 2012, Vision IT Group countered well thanks to its solid foundation and capacity to open new accounts and win new procurement agreements. More than 50 new accounts were opened in 2012 and more than 90 procurement agreements held throughout Europe by the Group.
A new ambitious strategic plan, Next Vision, will be deployed throughout the Group over the next 3 years. The new plan takes into account the new reorganization measures that will provide each manager with the opportunity to take on an entrepreneurial spirit. Next Vision provides the Group with an effective strategy to deploy its strategic offers - including Consulting & Training, Software Quality, Innovative Business Applications, IT Operations & Cloud - throughout Europe.
In a difficult economic environment, the Next Vision plan will bring new dynamics to the teams of Vision IT Group. The 2013 fiscal year has started in more optimal conditions than the preceding fiscal year. Several structuring projects have been acquired during 2012 and the renewal of the entirety of listings foresees an optimistic first half of 2013.
