Given the improved financial performance and the potential of the Clark Group, Viva China announced an increase in its indirect equity interest of Clark

[HK-November 18, 2022] Viva China Holdings Limited ('Viva China' or 'Company', Together with its affiliates，uniformly called 'the Group'，Stock Code：8032. HK） announced that the Group entered into an agreement with LionRock Capital Partners QiLe L.P. ("LionRock") on November 17th , and conditionally agreed to purchase the remaining 49% shares of LionRock Capital Partners Qile Limited (the "Target Company") at a consideration of GBP 110 million (equivalent to approximately HK$960.3 million). Previously, the Group held 51% shares of the Target Company. Upon completion of the acquisition, the Group's shareholding interest will increase to 100%. The Target Company holds 51% of equity interest in C&J Clark (No 1) Limited ("Clark"). Upon completion of the acquisition, the Company's effective interest in Clark Group will increase from approximately 26% to 51%.

The Group has been actively seeking opportunities to expand its internationalized multi-brand footwear and apparel consumables business. The Board believes that,

opportunity for the Group to increase further indirect equity interest of Clark at a reasonable price. With the extensive management experience in the apparel business, the Group would be able to continue to improve the financial performance of Clark which would in turn expand the income source of the Group and generate better returns for the Shareholders.
