WDX : CR 1/2017 (EBI) – Implementation of principles II.Z.2, II.Z.6, II.Z.8 from the set of “Best Practice for GPW Listed Companies 2016 “.

With reference to the current report of WDX S.A. (the Company) no 1/2016 dated January 28, 2016, regarding the non-use of certain principles from the set entitled 'Best Practice for GPW Listed Companies 2016″ (hereinafter referred to as: 'Best Practice), the Management at WDX S.A. informs that the Company started using the following detailed principles: II.Z.2, II.Z.6 and II.Z.8 from the set 'Best Practice'. Management and Supervisory Board

II.Z.2. A company's management board members may sit on the management board or supervisory board of companies other than the members of its group subject to the approval of the supervisory board.

The Company applies principle II.Z.2. The Company's Supervisory Board adopted changes in the Management's Work Rules. According to § 6(3) of the Rules:

'A Member of the Company's Management may, with prior approval of the Supervisory Board, sit on the management board or supervisory board of companies other than members of its capital group.'

II.Z.6. The supervisory board should identify any relationships or circumstances which may affect a supervisory board member's fulfilment of the independence criteria. An assessment of supervisory board members' fulfilment of the independence criteria should be presented by the supervisory board according to principle II.Z.10.2.

The Company applies principle II.Z.6.In the opinion of the Company's Supervisory Board, two of the five members of the Supervisory Board meet the independence criteria. Two independent members of the Supervisory Board sit in the Audit Committee, including the Chairman of this Committee.

II.Z.8. The chair of the audit committee should meet the independence criteria referred to in principle II.Z.4.

The Company applies principle II.Z.8. The Company's Supervisory Board appointed the Audit Committee consisting of three persons. The chair of the Committee meets the independence criteria referred to in principle II.Z.4.
